Member Meetings
Annual Meeting
The Association holds an annual meeting of Members. The first annual meeting was the Turnover Meeting (the initial meeting under the Oregon Planned Community Act); subsequent annual meetings are held on or about each anniversary (Source: Bylaws Article IV § 2). At each annual meeting the President (and any other officer designated by the Board) reports on activities and finances (Source: Bylaws Article IV § 5).
Special Meetings
Special meetings may be called by the President, by a majority of the Board, or by written request of Members entitled to vote at least 25% of all Class A votes (Source: Bylaws Article IV § 6).
Location
Meetings must be held in Multnomah or Clackamas County, Oregon, at a date/time/place designated by the Secretary (Source: Bylaws Article IV § 3).
Notice
Written notice of each Members' meeting must be mailed at least 15 days but not more than 50 days before the meeting to each voting Member at the Member's last address on file, plus to any mortgagee requesting notice. Notice must specify place, day, hour, agenda items, and the general nature of any proposed amendment to the Declaration/Bylaws, budget changes, or director/officer removal proposals (Source: Bylaws Article IV § 3).
Quorum, Proxies, Voting
See Membership and Voting. Quorum is 20% of total votes (in person or by proxy); ordinary action requires a majority of votes represented and voting (Source: Bylaws Article IV § 4).
Action Without a Meeting
Any action that the Members or Board may take at a meeting may be taken without a meeting if all eligible voters sign a written consent. The consent has the effect of a unanimous vote and is filed in the minutes (Source: Bylaws Article XX).
