Membership and Voting
Who is a Member
Every Owner of a fee or undivided fee interest in any Lot is a Member, and every person holding a contract vendee's interest of record in a Lot is a Member. There is no other membership qualification. Membership terminates on transfer of fee simple title (or transfer of contract purchaser's interest); the new owner's membership begins on recordation (Source: Declaration Article II § 1; Bylaws Article III § 1).
Classes
- Class A: All Members other than the Class B Member. One vote per Lot (Source: Declaration Article II § 2.A).
- Class B: Originally the Declarant (SummitRidge Townhomes Associates, LLC), entitled to three votes per Lot owned. Class B no longer exists — the 2025 restated Declaration states "There is no longer a Class B Member" (Source: 2025 Declaration Article II § 2.B). The Bylaws originally provided Class B would convert to Class A by the earliest of: (i) Class A reaching ≥15 votes, (ii) December 31, 2002, or (iii) Declarant's written election (Source: Bylaws Article III § 2.B).
Multiple Owners of a Single Lot
If multiple persons hold the interest in a single Lot, all are Members, but only one vote per Lot may be cast. If co-owners cannot agree how to vote, they are deemed to have abstained on that issue (Source: Declaration Article II § 2.A; Bylaws Article III § 2.A).
Quorum and Voting Thresholds
- Quorum (Members' meeting): 20% of total votes entitled to be cast, in person or by proxy (Source: Bylaws Article IV § 4).
- Ordinary Members' votes: majority of votes represented and voting (Source: Bylaws Article IV § 4).
- Annual budget approval: the proposed budget takes effect unless disapproved by a majority of Members entitled to vote (Source: Declaration Article IV § 3).
- Special assessment: two-thirds of votes of each class, in person or by proxy, at a meeting with at least 30 days' written notice (Source: Declaration Article IV § 5).
- Amend Declaration (during first 20 years): instrument signed by ≥75% of Owners; thereafter ≥66⅔% (Source: Declaration Article XI § 1).

- Suspension of voting rights: the Association may suspend an Owner's voting rights while assessments are unpaid, and for up to 60 days for rules infractions (Source: Declaration Article XI § 2.A; Article IV § 8.B(1)).
Proxies
Any Member may give a written proxy. Proxies expire on the earlier of (a) 11 months after the date of the proxy, or (b) sale of the Member's Lot. Proxies must be signed by the Member and filed with the Secretary (Source: Bylaws Article IV § 4).
Voting by Mail
The Secretary may conduct mail votes by sending a written resolution; ballots received later than 25 days after the notice date are of no effect (Source: Bylaws Article IV § 4).
