Membership and Voting

Who is a Member

Every Owner of a fee or undivided fee interest in any Lot is a Member, and every person holding a contract vendee's interest of record in a Lot is a Member. There is no other membership qualification. Membership terminates on transfer of fee simple title (or transfer of contract purchaser's interest); the new owner's membership begins on recordation (Source: Declaration Article II § 1; Bylaws Article III § 1).

Classes

Multiple Owners of a Single Lot

If multiple persons hold the interest in a single Lot, all are Members, but only one vote per Lot may be cast. If co-owners cannot agree how to vote, they are deemed to have abstained on that issue (Source: Declaration Article II § 2.A; Bylaws Article III § 2.A).

Quorum and Voting Thresholds

Proxies

Any Member may give a written proxy. Proxies expire on the earlier of (a) 11 months after the date of the proxy, or (b) sale of the Member's Lot. Proxies must be signed by the Member and filed with the Secretary (Source: Bylaws Article IV § 4).

Voting by Mail

The Secretary may conduct mail votes by sending a written resolution; ballots received later than 25 days after the notice date are of no effect (Source: Bylaws Article IV § 4).
